Terms of Service
1) Agreement to These Terms
By accessing our website, booking calls, requesting audits, purchasing services, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2) Who We Are and What We Do
Rock Automation provides consulting, implementation, and support related to automation, integrations, CRM configuration, data workflows, and related operational systems. The Services may involve third-party platforms (e.g., CRM, communications, billing, calendar, hosting, analytics, and AI services) that you or we configure.
3) Professional Disclaimer
We do not provide legal, accounting, tax, or regulated professional advice. You are responsible for ensuring your business complies with applicable laws, regulations, and third-party platform policies (including messaging and privacy rules). If you need professional advice, consult a qualified professional.
4) Client Responsibilities
- Access & accuracy: You agree to provide accurate information, timely access, and required permissions for tools/accounts needed to perform the Services.
- Your data & consent: You represent that you have the rights and consents needed to provide us any data (including contact data) that you ask us to process or integrate.
- Approvals: You are responsible for reviewing and approving deliverables, configurations, and messaging content before launch where appropriate.
- Security: You are responsible for maintaining strong credentials, MFA where available, and limiting access to authorized users.
5) Project Scope, Changes, and Deliverables
Service scope, timelines, and deliverables may be defined in writing (proposal, email, invoice notes, or statement of work). Any work outside the agreed scope may require additional fees and timeline adjustments. You authorize us to implement changes consistent with the agreed scope.
6) Fees, Billing, and Refunds
- Fees: Fees are as stated in your proposal/invoice or written agreement.
- Payment: Payment may be required in advance, in milestones, or upon completion depending on the agreement.
- Third-party costs: You are responsible for third-party subscriptions, usage fees, phone/SMS fees, AI usage fees, hosting, and similar costs unless explicitly included.
- Refunds: Unless required by law or explicitly agreed in writing, fees for work performed are non-refundable.
7) Third-Party Services
The Services may rely on third-party tools (for example: CRM, email/SMS providers, calendars, payment processors, analytics, automation platforms). Third-party services are governed by their own terms and policies, and may change functionality, pricing, and compliance requirements at any time. We are not responsible for third-party outages, policy changes, deliverability filtering, or changes to platform capabilities.
8) Intellectual Property
- Your materials: You retain ownership of your pre-existing content, branding, and data you provide to us.
- Our materials: We retain ownership of our pre-existing templates, code libraries, methods, and know-how.
- Deliverables: Upon full payment, you receive a license to use the deliverables we create for you for your internal business purposes. Unless agreed otherwise in writing, you may not resell or publicly distribute our deliverables as standalone products.
9) Confidentiality
If we access your systems, data, or internal processes, we will treat non-public information as confidential and use it only to perform the Services. You agree to treat any non-public information you receive from us as confidential. These obligations do not apply to information that is public, independently developed, or lawfully obtained from another source.
10) Acceptable Use
You agree not to use the Services to violate laws or third-party policies, including sending unlawful, deceptive, or abusive messages. You may not use our Services to distribute malware, attempt unauthorized access, or interfere with networks/systems.
11) Mobile Messaging Terms (Transactional Notifications)
If you provide a phone number and opt in, you may receive SMS/text messages or calls related to service and appointment notifications (e.g., confirmations, reminders, reschedules, operational updates). We do not use SMS for marketing unless you explicitly opt in to marketing messages separately.
- Consent: You will only receive messages if you opt in (for example, via a checkbox on a form, booking flow, or written request).
- Not required: SMS/call consent is not a condition of purchase.
- Frequency: Message frequency varies based on your activity (appointments and service updates).
- Rates: Message & data rates may apply.
- Opt-out: Reply STOP to cancel SMS at any time. After you opt out, you may receive one final message confirming your opt-out.
- Help: Reply HELP for help, or contact us at zakrok.ok@gmail.com.
- Phone number handling: SMS consent is not shared with third parties for marketing purposes. It is used only to deliver the requested messages via our messaging service providers.
12) Warranties and Limitations
The Services are provided “as is” and “as available.” We do not guarantee specific business outcomes, revenue, lead volume, conversion rates, or uninterrupted availability of third-party platforms. To the maximum extent allowed by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13) Limitation of Liability
To the maximum extent permitted by law, Rock Automation will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business, or goodwill. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the specific Services that gave rise to the claim during the three (3) months preceding the event.
14) Indemnification
You agree to indemnify and hold harmless Rock Automation from claims arising out of your use of the Services, your data, your messaging practices, or your violation of laws or third-party policies (including consent, privacy, and messaging compliance), except to the extent caused by our gross negligence or willful misconduct.
15) Termination
We may suspend or terminate access to the Services if you violate these Terms or if continuing would pose security, legal, or operational risk. You may stop using the Services at any time. Termination does not eliminate payment obligations for work performed or costs incurred.
16) Changes to These Terms
We may update these Terms occasionally. The “Effective date” above indicates the latest version. Continued use of the Services after updates means you accept the updated Terms.
17) Governing Law and Disputes
These Terms are governed by the laws of Quebec, Canada, excluding conflict-of-law rules. Any dispute will be brought in the courts located in Montreal, Quebec, unless otherwise required by law.
